be used except as provided in these Terms and Conditions without the

General Information:
The information contained in this catalog is subject to change without notice.
While OptiSource has used reasonable efforts to include accurate and
up-to-date information, OptiSource makes no warranties or representations
as to its accuracy. OptiSource assumes no liability or responsibility for any
errors or omissions in the content. OptiSource may at any time revise
these Terms and Conditions. You are bound by any such revisions. In the
event a product is listed at an incorrect price or with incorrect information
due to typographical error or error in pricing or product information received
from our suppliers, OptiSource shall have the right to refuse or cancel
any orders placed for product listed at the incorrect price. OptiSource shall
have the right to refuse or cancel any such orders whether or not the
order has been confirmed and your credit card charged. If your credit card
has already been charged for the purchase and your order is canceled,
OptiSource shall immediately issue a credit to your credit card account in
the amount of the charge.
Warranties:
Every third-party product you buy from OptiSource is backed first by the
product manufacturer's warranty. OptiSource's 30-day limited warranty
against defects may also apply. That warranty provides for either repair or
replacement (at OptiSource's sole discretion) of merchandise confirmed
as defective by either the manufacturer or OptiSource. We will assist
customers whenever possible in gaining satisfaction with product
manufacturers. No returns will be accepted when the manufacturer's or
distributor's return policies supersede ours.
Order Acceptance Policy:
All orders are accepted in accordance with the Terms and Conditions set forth
herein. OptiSource reserves the right at any time after receipt of your order to
accept or decline your order for any reason. OptiSource reserves the right
at any time after receipt of your order, without prior notice to you, to supply
less than the quantity you ordered of any item. All orders placed over USD
$2,000 must obtain credit pre-approval.
Following acceptance by Seller, orders are not subject to cancellation or
modification, except upon written approval by Seller, and shall be subject
to cancellation charges. OptiSource reserves the right to correct and amend
any typographical errors.
All orders placed by the Buyer are binding. Buyer agrees that
Buyer is wholly responsible for the actions of Buyer's employees,
agents or representatives. If an employee of Buyer places an order
unbeknownst to its management, Buyer is responsible for said
person's actions, and Buyer assumes all responsibilities, whether authorized
or not. Following written acceptance of or by signing for packages,
Buyer agrees that Buyer authorized the purchase and accepts the terms
and conditions of the sale with Seller. The Buyer's employee, agent or
representative is acting on behalf of the Buyer, and by signing and
receiving the package, the Buyer agrees to the Terms and Conditions
of purchase and is responsible for payment of the merchandise.
Buyer is hereby notified that for the purposes of quality control, training, order
and shipping accuracy, Seller may monitor agreements to purchase.
This agreement is the policy of the Seller. This policy supersedes any
arrangement the Buyer may have with a third-party billing or buying group.
This policy is non-negotiable and cannot be modified or compromised at any
time by anyone, including Seller's employees or any buying group.
Limitations of Liability and Indemnity:
In no event shall OptiSource or any of its subsidiaries or affiliates
be liable for any indirect, special, incidental or consequential damages,
including but not limited to loss of use, loss of data, loss of business,
or loss of profits. Some localities do not allow the exclusion or limitation
of incidental or consequential damages, so the above limitation or exclusion
may not apply to you. Seller assumes no liability for damage and/or injury
resulting from use or misuse of equipment or supplies supplied by Seller.
In no event will Seller be liable for indirect or consequential damages
whatsoever resulting from loss of use, data or profits arising out of, or in
connection with, the use or misuse of Seller's product. Buyer agrees to
indemnify and hold the Seller harmless for any expense or loss arising out
of, or resulting from, the installation of said product by Buyer.
Return of Product and Refused Shipments:
All return claims must be made within 30 days of receipt of goods.
All returns must be authorized by OptiSource and accompanied
by a Return Authorization number. Claims for damages and shortages
must be made within 15 days of the date of delivery. All returns must be
shipped freight prepaid by Buyer. Absolutely no returns will be accepted
after 60 days of receipt of goods. All unauthorized returns will be refused
by Seller. All authorized returns are subject to a restocking and transportation
fee of 25% of the entire invoice in question, unless Buyer chooses to
exchange for another comparable product. Any products omitted from
returned package will automatically be billed at full price. All free items
must be returned with original invoice. Returns are subject to Seller's
prior inspection and analysis to verify that merchandise has not been
mishandled, altered or contaminated in any way. All products returned
to Seller due to refusal of acceptance by Buyer, without Seller's
authorization, will be subject to a 25% restocking and transportation charge.
Special-design and custom-constructed or custom-formulated merchandise
is not returnable. Contact customer service for return authorization
